eToro has agreed to acquire TradeZero, an online brokerage focused on the American market and aimed at active traders, for total consideration that could reach 231 million dollars. The purchase is designed to strengthen eToro's presence in the United States with a business it describes as highly complementary rather than overlapping.

Founded in 2015, TradeZero brings next generation trading platforms, a global broker dealer infrastructure, a closely engaged community of traders and access to the Canadian market. It operates in the United States, Canada and international markets. Put together with eToro, the stated aim is faster product innovation, a better customer experience and a wider range of products and services on both platforms.

Yoni Assia, co founder and chief executive of eToro, called it an important step in building the American business, pointing at TradeZero's distinctive technology, its broker dealer infrastructure and its trader community, and saying the combination gives a faster route to launching new products for American customers while the company continues building what he calls a global financial super app for the next generation of users.

Daniel Pipitone, co founder and chief executive of TradeZero, framed it from the other direction: the company was created by active traders for active traders and everything it has done since 2015 has served that community. Joining eToro, in his account, gives the team the scale to accelerate innovation, while TradeZero's broker dealer infrastructure and proprietary trading tools strengthen a broader investment platform.

On the terms, eToro expects total consideration of up to 231 million dollars, made up of cash and up to 2,5 million new Class A ordinary shares, subject to the usual purchase price adjustments. Over the past twelve months TradeZero generated around 80 million dollars of revenue at a gross margin of 81 percent. On completion the acquisition is expected to add to adjusted earnings per share in the first year.

Closing is subject to the usual conditions including regulatory clearances, and is currently expected in the first half of 2027. Jefferies acted as exclusive financial adviser to eToro with Simpson Thacher and Bartlett as lead legal adviser, while J.P. Morgan Securities advised TradeZero with Choate, Hall and Stewart as lead legal adviser.
